1. Acceptance of Terms

By accessing or using the services offered by ThinkzAi ("we", "us", or "our"), including our website, WhatsApp AI Agent, website development services, and retail software — you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Services We Provide

ThinkzAi offers the following services to businesses across India:

• WhatsApp AI Agent — A 24/7 AI-powered sales, support, and lead-capture agent deployed on WhatsApp for your business
• Website Development — Production-grade, custom-designed websites built with modern frameworks for businesses that need premium quality at accessible pricing
• Retail Software & CRM — Inventory management, customer tracking, and sales insight tools tailored for Indian businesses (coming soon)

We serve businesses across verticals including retail, boutiques, restaurants, clinics, real estate, salons, hotels, and education.

3. Client Responsibilities

As a client or user of ThinkzAi services, you agree to:

• Provide accurate and complete information when engaging our services
• Use our services only for lawful business purposes
• Not misuse or attempt to reverse-engineer any of our AI systems or software
• Ensure all content you provide to us is lawfully owned or licensed by you
• Comply with WhatsApp Business API policies when using the AI Agent

4. Payments & Refunds

Payment terms are agreed upon individually for each project or subscription. Unless stated otherwise in your agreement:

• Upfront payments or deposits are non-refundable once work has commenced
• Subscription fees (e.g., for the WhatsApp AI Agent) are billed as agreed and are non-refundable for used periods
• Any disputes regarding payments must be raised within 7 days of the invoice date

5. Intellectual Property

Upon full payment, clients receive ownership of the final deliverables (e.g., website code and design assets) specific to their project. However, ThinkzAi retains ownership of all underlying frameworks, tools, AI systems, templates, and proprietary methodologies used in delivering the service.

ThinkzAi reserves the right to showcase completed work in our portfolio unless the client explicitly requests confidentiality in writing.

6. WhatsApp AI Agent — Specific Terms

When using our WhatsApp AI Agent service:

• You are responsible for obtaining necessary consents from your customers before deploying the agent
• The agent must not be used to send unsolicited messages or spam
• ThinkzAi is not liable for any misuse of the agent by the client or their customers
• Uptime is targeted at 99.9% but is subject to WhatsApp API availability

7. Limitation of Liability

ThinkzAi shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services, including loss of revenue, data, or business opportunities — even if we have been advised of the possibility of such damages.

Our total liability in any matter is limited to the amount paid by you for the specific service in question during the three months preceding the claim.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, customer data, pricing structures, and technical implementations.

9. Termination

Either party may terminate an engagement with 14 days written notice. ThinkzAi reserves the right to immediately suspend or terminate services if a client violates these terms, engages in unlawful activity, or fails to make due payments.

10. Governing Law

These Terms of Service are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

11. Changes to These Terms

We may update these Terms of Service at any time. Continued use of our services after changes are posted constitutes your acceptance of the revised terms. We will notify active clients of material changes via email or WhatsApp.
